Welcome to EZ Cloud Labs (“EZ Cloud”, “we”, “us”, or “our”). These Terms of Use (“Terms”) govern your access to and use of our website (ezcloudlabs.com), our project scoping and consultation services, client portals, and any related digital offerings.

By accessing our website, requesting a consultation, submitting technical specifications, or signing a Statement of Work (“SOW”) with EZ Cloud Labs, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our website or services.

1. Professional Services & Statements of Work

EZ Cloud Labs provides custom software engineering, cloud architecture, mobile and web application development, enterprise integrations (including Odoo ERP and bespoke pipelines), and AI automation.

• Statements of Work (SOW): Each engagement is executed under a detailed SOW or Master Services Agreement (“MSA”) outlining specific project milestones, deliverables, technical specifications, acceptance criteria, and fee structures.
• Scope Adjustments & Change Orders: Any modifications to project deliverables or functional requirements after milestone sign-off require mutual agreement and a written Change Order reflecting timeline and budget impacts.
• Post-Launch Support: Unless otherwise specified in an active maintenance agreement, ongoing hosting, updates, and maintenance are governed by our dedicated SLA addenda.

2. Intellectual Property & Deliverables Ownership

We believe in straightforward intellectual property rights for our clients:

• Client Deliverables: Upon full and final payment of all agreed fees, all custom source code, designs, database architectures, and documentation developed specifically for your project become your exclusive intellectual property.
• Pre-Existing Tools & Libraries: EZ Cloud Labs retains all rights to its pre-existing internal developer utilities, generic design patterns, and proprietary foundation components. Where such elements are incorporated into your deliverables, we grant you a perpetual, irrevocable, royalty-free, worldwide license to use and modify them as part of the delivered software.
• Open Source Software: Projects may utilize open-source frameworks (e.g., Next.js, React, PostgreSQL, Python libraries). All third-party open-source components remain subject to their respective licenses (e.g., MIT, Apache 2.0).

3. Client Responsibilities & Materials

Successful software delivery relies on collaborative partnership. You agree to:

• Provide timely feedback, access to necessary staging environments, API credentials, and third-party authorizations required for development and integration.
• Ensure that all data, assets, brand marks, and technical documentation provided to us do not violate any third-party intellectual property, privacy, or trade secret rights.
• Designate authorized decision-makers for milestone testing and acceptance within agreed review windows.

4. Confidentiality & Non-Disclosure

We treat your trade secrets, business logic, algorithmic models, and proprietary data with strict confidentiality. Both parties agree:

Neither party will disclose or use any non-public technical, commercial, or operational information of the other party, except as strictly required to perform obligations under our project agreement. All staff, contractors, and engineers assigned by EZ Cloud Labs are bound by binding non-disclosure agreements.

5. Third-Party Services, APIs & Infrastructure

Custom applications frequently integrate with external third-party platforms (e.g., AWS, Google Cloud, Stripe, Twilio, OpenAI, ERP systems). You acknowledge that:

• You are responsible for adhering to the terms, usage fees, and billing of any third-party services you contract directly.
• EZ Cloud Labs is not liable for disruptions, rate-limiting, API deprecations, or policy changes enacted by independent third-party platforms outside of our direct control.

6. Warranties & Limitation of Liability

EZ Cloud Labs warrants that all custom code will be written in a professional, workmanlike manner in accordance with modern industry best practices and will substantially conform to the specifications outlined in the relevant SOW for the agreed post-delivery warranty period (typically 30 days post-acceptance).

EXCEPT AS EXPRESSLY STATED IN A SIGNED SOW, OUR WEBSITE AND EXPERIMENTAL CODE SAMPLES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EZ CLOUD LABS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM USE OF OUR SITE OR DELIVERABLES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO EZ CLOUD LABS UNDER THE SPECIFIC SOW GIVING RISE TO THE CLAIM.

7. Website Usage & Acceptable Conduct

When accessing our website or client portals, you agree not to:

• Attempt to probe, scan, or breach any security, firewall, or authentication controls on our servers.
• Engage in automated scraping, data harvesting, or denial-of-service activities against our infrastructure.
• Submit malicious code, harmful payloads, or fraudulent project inquiries through our contact drawers or intake forms.

8. Governing Law & Dispute Resolution

These Terms and any project contracts executed with EZ Cloud Labs are governed by and construed in accordance with the laws of the State of New York and the United States, without regard to conflict of law principles. Any legal actions or proceedings arising hereunder shall be subject to the exclusive jurisdiction of the federal and state courts located in the State of New York.

9. Changes to These Terms
